These Terms & Conditions ("Terms") govern your access to and use of the GridMind software-as-a-service platform (the "Service") operated by GridMind EPC("GridMind", "we", "us"). By creating an account or continuing to use the Service, you agree to be bound by these Terms.

1. The Service

GridMind provides an AI-assisted operating system for solar EPC contractors, including engineering calculators, cost estimation, proposal generation, CRM, procurement, inventory, SCADA monitoring, O&M, client portals and financial reporting.

2. Account & authority

You must be at least the age of majority in your jurisdiction, or have authority to bind the organization on whose behalf you use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.

3. Acceptable use

You must not:

  • use the Service for any unlawful purpose or in violation of any applicable law;
  • send spam, phish, or engage in fraud or misrepresentation;
  • infringe the intellectual property or privacy rights of any third party;
  • interfere with or compromise the security of the Service, including introducing malware, probing, scanning, or scraping;
  • reverse engineer, resell, or redistribute the Service, or circumvent any technical or usage limits.

4. Intellectual property

GridMind retains all right, title and interest in the Service, including its software, documentation, branding, and any improvements. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of the content and data you submit to the Service; you grant us a limited license to host and process such content solely to provide the Service to you.

5. AI-generated outputs

The Service uses AI models to generate technical narratives, sizing recommendations, proposal drafts and other outputs. AI outputs may be inaccurate or incomplete and are not a substitute for professional engineering judgment. You are responsible for reviewing outputs before relying on them, verifying accuracy, and ensuring you have the rights to any content you submit as input. Regulated professional decisions (structural, electrical, safety) require review by a qualified engineer.

6. Payments, billing and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by the Paddle Buyer Terms. Subscription fees are billed in advance on a monthly or annual cycle and renew automatically until cancelled.

7. Service level

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or free from data loss. The Service is provided "as is" and, to the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Suspension and termination

We may suspend or terminate access to the Service for: (a) material breach of these Terms; (b) non-payment; (c) security, fraud, or abuse risk; or (d) repeated or serious policy violations. On termination, we will make your data available for export for a reasonable period, after which it may be deleted.

9. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We will not be liable for indirect, consequential, special, incidental or exemplary damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

10. Indemnity

You will indemnify and hold harmless GridMind from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

11. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which GridMind EPC is established, without regard to conflict-of-laws principles. The courts of that jurisdiction have exclusive jurisdiction over any dispute, subject to any mandatory consumer protection laws in your country of residence.

12. Assignment; force majeure

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond their reasonable control.

13. Changes

We may update these Terms from time to time. Material changes will be notified in-app or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
